Job Description
The Merger & Acquisition Manager will be responsible for leading the M&A activities for the Group entities including sourcing potential opportunities, overseeing due diligence process, negotiating and supporting legal team on closing of definitive transaction documents and supporting on post-acquisition integration. The M&A manager will also oversee the establishment of joint venture opportunities with local and international partners for the Group entities through leading the feasibility evaluation of those opportunities, proposing/negotiating the terms of the JVs and supporting on the incorporation of those JVs.
Responsibilities & Duties
· Develop a full understanding of the M&A strategy of each of the Group entities.
· Coordinate with the Strategy Manager to maintain a market mapping of potential acquisitions targets and to identify potential M&A opportunities for each entity.
· Act as a point of contact with the potential M&A targets if required.
· Lead the full cycle of due diligence process which include financial due diligence, commercial due diligence, technical, legal, tax, etc.
· Liaise with external and internal service provides and advisors for any additional required due diligence.
· Advise on strategies to address/mitigate any due diligence findings.
· Lead the preparation of a full business plan for each potential M&A opportunity.
· Identify potential synergies and incorporate those in the business plan.
· Coordinate with the Strategy Manager to identify and model other strategies for value creation
· Create different scenarios for business plan and synergies.
· Align the business plan with the relevant internal stakeholders.
· Propose a suitable transaction structure and recommend the key terms for the transaction.
· Draft the non-biding offer/LOI and arrange with legal team to review and execute.
· Support the legal team in drafting, negotiating and closing the definitive transaction documents.
· Support the relevant entities in the post-acquisition integration process of those opportunities.
· Monitor the integration process, identify any challenges/issues, and arrange with relevant stake holders to address those challenges.
· Monitor the performance of such investments.
· Lead the preparation of update reports on such investments that includes the latest performance figures, performance vs business plan, key challenges and strategies to address those challenges.
· Evaluate potential exit/ divestment opportunities.
· Lead the full process of any sale, IPO or fund raising activity for any Group entity which might include liaising with external advisors, review of offers/bids, alignment with internal relevant stakeholders on transaction terms, coordinating with legal team to review transaction documents, supporting on closing of transaction, etc.
· Evaluate the feasibility of potential new projects/ JV opportunities through detailed financial, commercial and market analysis.
· Recommend and propose the key terms for those opportunities.
· Draft the term sheet and arrange with legal team to review and execute.
· Support legal team in drafting the definitive transaction documents and incorporating those JVs.
· Manage and supervise assistant investment managers, investment associates and analysts.
· Lead/prepare presentations/memos on such opportunities and present those to the investment committee and the board of directors.
· Support other Group’s divisions in other strategic projects when required.
Desired Qualification & Experience:
· Bachelor’s degree in Finance or Accounting
· Minimum 5 years of experience
· GCC Investment Experience required
